Terms of Service

Last updated: October 8, 2026

Please read these Terms carefully. By accessing or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you are authorized to act for that organization.

1. Agreement and Services

These Terms of Service (“Terms”) govern access to and use of websites, software, portals, applications, mobile applications, integrations, and related products and services provided by Diamond On, LLC (“Diamond On,” “we,” “us,” or “our”) (collectively, the “Services”). If you do not agree, do not use the Services.

Diamond On provides cloud-based technology for transportation companies and related businesses. Depending on the subscription and configuration, Services may include reservations and quotes, dispatch, client and passenger management, chauffeur and fleet operations, communications, payments and billing workflows, reporting and analytics, agreements, client portals, mapping and routing, flight information, integrations, AI-assisted functionality, and other business-management capabilities. Features may vary by subscription, configuration, availability, location, third-party provider, and product version.

If a separate written order, subscription agreement, enterprise agreement, data processing agreement, or other contract between Diamond On and a customer conflicts with these Terms, the more specific written agreement controls to the extent of that conflict.

2. Accounts and authorized users

Certain Services require an account. You agree to provide accurate information and maintain credentials under your control. You are responsible for activity performed through your account except to the extent caused by circumstances attributable to Diamond On. Notify us promptly if you reasonably believe an account has been compromised.

Organizations are responsible for appropriately configuring their tenant, users, roles, permissions, integrations, and access. Access to an account does not by itself grant authority to view or act on information outside the user's authorized organization, role, or scope.

3. Google, Microsoft, Apple and other identity providers

Diamond On may permit authentication through third-party identity providers including Google, Microsoft, and Apple. By choosing a provider, you authorize the authentication flow and the transfer to Diamond On of information covered by the permissions presented to you. Diamond On does not receive your provider password.

Google

Google authentication and separately enabled Google integrations are subject to applicable Google terms and permissions. Diamond On's access, use, storage, and disclosure of Google user data are described in our Privacy Policy. Additional Google services are not accessed merely because a user chooses Sign in with Google; they require the applicable separate authorization.

Microsoft

Microsoft personal, work, or school account authentication and separately enabled Microsoft 365 or Microsoft integrations are subject to applicable Microsoft terms and permissions. Access to additional Microsoft data requires the permissions appropriate to the feature being enabled.

Apple

When you use Sign in with Apple, you may choose to share information permitted by Apple, including a private relay email address where offered. You are responsible for maintaining access to the Apple account used for authentication. Diamond On will not require a personal email solely to override a valid Apple private relay choice.

You may revoke provider authorization through the applicable provider or supported Diamond On settings. Revocation may disable related features but does not necessarily cancel your Diamond On account, subscription, or obligations.

4. Customer responsibilities and acceptable use

Customers are responsible for the accuracy and lawfulness of information they submit; appropriate authority to process client, passenger, employee, chauffeur, affiliate, and other information; their transportation operations; and compliance with laws applicable to their business, including privacy, communications, employment, payment, licensing, insurance, and transportation requirements.

You may not use the Services to violate law or another person's rights; access data without authorization; circumvent authentication, tenant isolation, subscription, entitlement, or security controls; introduce malicious code; disrupt the Services; conduct unauthorized security testing; scrape or systematically extract data except through expressly authorized functionality; send unlawful spam or abusive communications; impersonate another person or organization; or use the Services in a manner reasonably likely to harm Diamond On, customers, users, or infrastructure.

5. Subscriptions, fees and trials

Certain Services require a paid subscription. Pricing, subscription periods, included features, usage allowances, trial periods, renewal terms, and other commercial terms may be stated in an order, proposal, subscription screen, or other purchasing document. Unless otherwise specified, subscriptions may renew until canceled according to the applicable subscription terms. Customers are responsible for applicable fees and taxes.

Diamond On may offer trials with eligibility, duration, features, and limitations disclosed with the offer. Unless otherwise stated, trial offerings may be modified or discontinued. Conversion to a paid subscription will follow the terms presented when the trial or subscription is activated.

6. Third-party services and integrations

Diamond On may integrate with third-party providers for identity, communications, mapping and routing, payments, flight information, AI, telematics, electronic signatures, and other functionality. Third-party services may have separate terms, fees, privacy policies, and availability requirements. Diamond On does not control and cannot guarantee their continuous availability, accuracy, or performance. Changes or outages may affect related Diamond On features.

7. Artificial intelligence

Certain Services may include AI-assisted classifications, summaries, drafts, recommendations, predictions, extraction, or responses. AI output can be incomplete or incorrect and must not automatically be treated as verified fact. Customers remain responsible for appropriate review before consequential business, safety, financial, legal, employment, or operational decisions.

Diamond On may use deterministic rules, permissions, human review, or other safeguards in conjunction with AI. We may change models, providers, or techniques used to provide AI functionality.

8. Transportation and operational decisions

Diamond On is a technology platform and is not a transportation carrier unless expressly stated in a separate written agreement. Transportation providers remain responsible for vehicles, chauffeurs, passengers, regulatory compliance, licensing, insurance, safety, dispatch, and transportation operations.

Routing, traffic, flight information, arrival estimates, dispatch recommendations, and similar information may rely on estimates, algorithms, third-party data, or changing conditions and should be appropriately reviewed before safety-critical or consequential use.

9. Payments and communications

Payment functionality may be provided by third-party processors and may use provider tokens or references. Users must not intentionally place raw payment-card information into fields not specifically designed and authorized for secure payment data.

Diamond On may facilitate email, SMS, telephone, push, and other communications. Customers are responsible for required authority and consent to send communications. Delivery is not guaranteed because it can depend on third-party providers, networks, recipient systems, and device settings.

10. Customer data and privacy

As between Diamond On and the subscribing organization, the organization retains its rights in data it submits to the Services, subject to applicable law and contract. The customer grants Diamond On the rights reasonably necessary to host, process, transmit, back up, secure, and otherwise handle that data to provide, maintain, secure, and improve the Services as permitted by applicable agreements and law.

Diamond On does not acquire ownership of customer business data merely because it is processed through the Services. Personal-information practices, including practices relating to Google, Microsoft, and Apple data, are described in the Diamond On Privacy Policy.

11. Security

Diamond On uses reasonable administrative, technical, and organizational safeguards designed to protect the Services and information processed through them. Customers are responsible for reasonable security of their own users, devices, credentials, networks, integrations, and configurations. No Internet-connected service can be guaranteed completely secure.

12. Intellectual property and feedback

Diamond On and its licensors retain all rights, title, and interest in the Services, including software, designs, interfaces, trademarks, documentation, technology, algorithms, and proprietary materials, excluding customer-owned data. Subject to these Terms and applicable subscription requirements, Diamond On grants authorized users a limited, non-exclusive, non-transferable right to use the Services during the authorized period.

If you voluntarily provide feedback, you permit Diamond On to use it to develop, improve, and operate products without compensation, provided that doing so does not transfer ownership of your underlying confidential information or customer data.

13. Availability, changes, suspension and termination

We work to maintain reliable Services but do not guarantee uninterrupted or error-free operation. Services may be affected by maintenance, updates, infrastructure or provider failures, telecommunications failures, security incidents, force majeure, or other circumstances outside reasonable control. We may add, change, or retire features subject to applicable contractual obligations.

Diamond On may suspend or terminate access where reasonably necessary for material breach, security threats, fraud or abuse, unlawful activity, nonpayment, risk to the Services or other users, or as otherwise permitted by agreement or law. Following termination, data access may be limited or discontinued according to applicable agreements, retention policies, and legal requirements.

14. Disclaimers and limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” DIAMOND ON DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Diamond On does not warrant that third-party information, AI output, routing, flight, traffic, or other external data will always be complete, current, or error-free. Nothing in these Terms excludes rights or warranties that cannot legally be excluded.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIAMOND ON WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, ARISING FROM OR RELATED TO THE SERVICES.

Except where prohibited by law or otherwise stated in a separate written agreement, Diamond On's aggregate liability arising from or relating to the Services will not exceed the amount paid by the applicable customer to Diamond On for the Services giving rise to the claim during the twelve months preceding the event giving rise to liability. These limitations do not apply where liability cannot legally be limited.

15. Indemnification

To the extent permitted by law, an organization using Diamond On agrees to indemnify and defend Diamond On against third-party claims arising from that organization's unlawful use of the Services, violation of these Terms, violation of applicable law, or infringement of another person's rights, except to the extent caused by Diamond On's own breach or misconduct. Additional obligations may be established in a separate written agreement.

16. Governing law and disputes

Unless a separate written agreement specifies otherwise, these Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Disputes will be subject to jurisdiction and venue required under applicable law or a separate written agreement between Diamond On and the customer.

17. Changes and general terms

We may update these Terms periodically. We will update the “Last updated” date and provide additional notice of material changes where required. Continued use after revised Terms become effective constitutes acceptance where permitted by law.

If a provision is unenforceable, remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without Diamond On's consent except where permitted by law or written agreement. Diamond On may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all relevant assets.
